Franchised motorcycle main dealer with freehold premises

Overview

  • An established franchised main dealer for a leading Japanese motorcycle manufacturer, trading for over fifteen years under continuous ownership and now in its first full year holding the manufacturer’s motorcycle and scooter franchise alongside its long held all terrain and side by side appointment. The business retails new and used motorcycles, scooters, a specific quad bike model all terrain vehicle and side by side vehicles from a purpose refurbished freehold showroom and workshop of approximately 8,500 square feet, supported by an in-house service and repair workshop, a parts and clothing counter, FCA authorised retail finance broking and a branded e-commerce platform.
  • The business relocated to its current freehold premises in 2025 and was awarded the motorcycle franchise in the same period, trading through that year on reduced stock while the move and refurbishment were completed. Those costs have now been borne by the vendor. The nine months to 30 June 2026 already exceed the whole of the prior year’s turnover, and in September 2026 the manufacturer placed the dealership in the top half of its United Kingdom network.

  • Turnover of £1.46m in the nine months to 30 June 2026, ahead of the whole of the previous financial year, with the June 2026 quarter 151% up on the same quarter of 2025 per filed VAT returns.
  • Adjusted EBITDA of approximately £120,000 in those nine months, against £170,000 to £220,000 a year in the three years before the relocation.
  • Net assets of approximately £692,000 at 30 June 2026 including the freehold and stock of £795,000 at cost.
  • Not owner operated. A general manager of seventeen years’ standing and a workshop manager of eleven years run the business day to day and both wish to remain.
  • Long established consumer accreditation, an interest free manufacturer stocking facility of £660,000 and a branded online purchase and delivery platform.
  • Clear headroom in used vehicle sales, clothing and accessories, retail finance and insurance introduction, MOT authorisation and the agricultural off-road segment.

The Transaction

  • The shareholder is retiring and seeks a full exit. He will remain available for a handover of six months, or longer on a part time basis. Offers are invited for the entire issued share capital on an enterprise value basis, with the freehold either included in the transaction or retained by the vendor and let to the purchaser at a market rent, at the purchaser’s election. Any transaction is subject to the consent of the franchisor, which has asked to be kept informed and has confirmed its support in writing.
