The sale of Profi Dental Equipment
Hilton Smythe is delighted to announce the successful asset sale of Profi Dental Equipment Ltd, a supplier of dental equipment based in Birmingham, West Midlands.
The assets have been acquired by London-based Anglian Dental.
Established in 2006, Profi Dental Equipment supplies and installs specialist dental equipment such as dental chairs and x-ray equipment, together with a host of other specialist dental equipment.
The business has a long trading history, with excellent reputation with its customers and as high as 95% return custom.
Anglian Dental have a similar service offering to Profi Dental Equipment, stocking a different supplier’s products. The business is based in London, and wanted to acquire stock and customers based in the Midlands for expansion, as they’re keen to continue developing and scaling their service offering.
Hilton Smythe carried out negotiations with poise and professional insight, being instrumental in facilitating the final deal.
The initial offering as a share sale slowly changed into an asset sale agreement. The business first went on the market in January 2022, with a first offer by the purchaser made within 6 months, in June 2020.
Gareth Smyth, CEO Hilton Smythe Group said: “Finding the right deal structure and approach took time. We originally viewed the deal on a share sale basis, and then after months of discussion realised that an asset sale was more appropriate in this circumstance.”
“The discussions and length of time the discussions were progressing were the most difficult aspect of the deal, with the completion taking over 16 months from initial introduction. Both parties were very patient and resilient, but it was a complicated transaction for its size.”
Following the completion in May 2023, the founders are exiting the business to return to their home country in Poland.
